Premiere cs6 can replace but there wil be no Dynamic Link between AE cs4 and Premiere cs6. Dynamic link only excists between apps of the same version. You can use PP cs6 with e.g. PS cs4. ------------

Yes, transcode to ProRes or another codec that is standard. A lot of people like 50mbit XDCAM (MXF OP1A) too which is about half of ProRes in size but still good looking.

I would only add to Dave's comment that you can save this as a batch process command. So after creating the actions needed to resize, you can apply to all clips in a folder.
